Terms of Service

1. Who we are & agreement to Terms

Kinetiq (“Kinetiq,” “we,” “us,” or “the Service”), operated by Valery Igel, provides an AI software service at kinetiq.chat. By accessing or using the Service you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.

Kinetiq is operated by Valery Igel, Israel.

2. Description of the Service

Kinetiq is an AI-powered SaaS platform that provides multi-agent AI workflows to generate, organize, refine, and export AI-assisted outputs — including written content, UI/design concepts, image-generation prompts and images, and project/build artifacts. Features and deliverables vary by plan as described on the Pricing page. The Service relies on third-party AI providers and its outputs are not guaranteed (see Sections 5 and 13).

3. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, and able to form a legally binding contract to use the Service. By using Kinetiq you represent that you meet these requirements and that the information you provide is accurate.

4. Accounts & security

You access Kinetiq through our authentication provider (Clerk). You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You may not use another person's account without permission. Notify us immediately of any unauthorized access at support@kinetiq.chat.

5. AI-generated outputs & no professional advice

AI-generated outputs may be inaccurate, incomplete, outdated, biased, unsafe, or otherwise unsuitable, and may not reflect your prompt. The Service does not provide professional advice of any kind — including legal, medical, financial, tax, accounting, security, compliance, or engineering advice. You are solely responsible for reviewing, testing, validating, and deciding whether and how to use any output. You use AI-generated outputs at your own risk, and we are not liable for decisions made based on them.

6. Acceptable use & prohibited conduct

You agree not to use Kinetiq to:

• Engage in any unlawful activity or violate any applicable law or regulation
• Create or distribute malware, phishing, credential theft, spam, or abusive scraping/automation
• Produce hate, harassment, exploitation, or any sexual content involving minors
• Deal in weapons, regulated goods, controlled substances, gambling, or adult services
• Make financial, medical, or legal decisions without qualified professional review
• Infringe intellectual property, impersonate others, or create fraudulent or deceptive content
• Bypass security, reverse-engineer the Service, or abuse rate limits or usage limits
• Resell, sublicense, or share access to the Service without our permission
• Submit prompts intended to extract sensitive system information or other users' data

We may remove content and restrict features that violate these Terms.

7. Suspension & termination

We may suspend or terminate your access — with or without notice where appropriate — for abuse, security or legal risk, nonpayment, chargebacks or payment disputes, violation of these Terms, or issues raised by our payment processor (Paddle) or authentication provider. You may stop using the Service at any time. Upon termination your right to use the Service ends; data handling after termination is described in our Privacy Policy.

8. Plans, usage limits & changes

Each plan has defined usage and feature limits (e.g., workflow runs, refinements, image generations, connector-context runs, projects, and artifacts). We may enforce, change, correct, or recalculate limits and plan features with reasonable notice where practical. Exceeding a limit may return an error, and unused usage does not carry over between billing periods.

9. Subscriptions & payments

Kinetiq offers free and paid subscription plans. Paid subscriptions automatically renewat the end of each billing period until canceled. You can cancel future renewals from the Plan & Billing page or billing portal.

Payments are processed by Paddle, which acts as merchant of record / payment processor. Where applicable, Paddle handles checkout, payment methods, taxes, receipts, and the billing portal under its own terms. We do not store full payment card numbers. Refunds are governed by our Refund Policy.

10. Your content & license

You retain ownership of the prompts, files, and content you submit and of the outputs generated for you, to the extent such outputs are capable of ownership. You grant Kinetiq a limited, worldwide license to host, process, and transmit your prompts, files, and outputs solely to operate and provide the Service (including sending them to AI providers and connectors you use). You are responsible for the content you submit and must not submit third-party confidential or personal data without authorization.

11. Third-party services & connectors

Kinetiq integrates with third-party services including Clerk (authentication), Neon (database), Vercel (hosting/storage), OpenAI and Anthropic (AI providers), Paddle (payments), and user-authorized connectors such as Google Drive and Slack. When you connect a connector, Kinetiq accesses only the content you select or authorize, per the granted scopes. Your use of third-party services is subject to their own terms and privacy policies, and we are not responsible for their availability, accuracy, or actions.

12. Availability & changes to features

We do not guarantee that the Service will be uninterrupted, secure, or error-free, or that it will be available at all times. Features may be modified, added, or removed as part of normal service development.

13. Disclaimer of warranties

THE SERVICE AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY REGARDING ACCURACY OR RELIABILITY OF AI-GENERATED CONTENT.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KINETIQ WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM, OR USD $10 IF YOU HAVE NOT PAID US.

15. Indemnification

You agree to indemnify and hold harmless Kinetiq and its operators from any claims, damages, liabilities, and reasonable costs arising from your misuse of the Service, your content, or your violation of these Terms or applicable law.

16. Governing law & changes

These Terms are governed by the laws of Israel, without regard to conflict-of-laws rules. You agree that any dispute arising from these Terms or your use of the Service will be subject to the exclusive jurisdiction of the competent courts of Israel. We may update these Terms from time to time; continued use after changes constitutes acceptance of the revised Terms.
